These Terms of Service ("Terms") govern your use of the CanadianBids.ai platform ("Service") operated at canadianbidsai.ca. By creating an account or using our Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Overview of the Service
CanadianBids.ai is a procurement intelligence platform that helps Canadian small and medium-sized businesses discover and match with federal government tender opportunities. The Service provides:
- AI-powered matching between your company profile and live government tenders
- Plain-English summaries of tender notices
- Structured extraction of key tender requirements
- Access to tender documents and notice links
- Email alerts for new matches and closing deadlines
Important Disclaimer
CanadianBids.ai is a discovery and matching tool only. We do not submit bids, applications, or proposals on your behalf. All tender applications must be submitted directly through CanadaBuys or the issuing authority. We are not affiliated with, endorsed by, or operated by the Government of Canada.
2. Eligibility
To use the Service, you must:
- Be at least 18 years of age
- Be authorized to act on behalf of the business entity you register
- Provide accurate and complete information when creating your account and profile
- Comply with all applicable Canadian federal and provincial laws
3. Accounts
3.1 Registration
You must create an account to access the full features of the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
3.2 Accuracy
You agree to provide accurate, current, and complete information in your company profile. Inaccurate profile data may result in poor match quality. We are not liable for matches generated from incomplete or incorrect profile information.
3.3 Account Security
You must notify us immediately at julie@getcanadianbidsai.com if you become aware of any unauthorized use of your account. We are not liable for losses arising from unauthorized use of your credentials.
4. Subscription Plans and Payment
4.1 Free Plan
The Free plan provides access to browse all live tenders, basic search and filters, and a limited preview of AI-powered matches (1 visible match; additional matches are shown with scores but details are blurred).
4.2 Pro Plan
The Pro plan is available at the pricing listed on our website. Pro provides full access to all AI-powered matches, detailed match explanations, email alerts, and all premium features. Pricing is subject to change with 30 days' notice to existing subscribers.
4.3 Billing
Pro subscriptions are billed on a recurring basis (monthly or annually, as selected) through Stripe. By subscribing, you authorize us to charge your payment method on each billing cycle. All amounts are in Canadian dollars (CAD) unless otherwise stated.
4.4 Cancellation
You may cancel your Pro subscription at any time through your account settings. Upon cancellation, you retain Pro access until the end of your current billing period. No prorated refunds are issued for partial billing periods.
4.5 Refunds
We do not generally offer refunds. If you believe you have been charged in error, contact us at julie@getcanadianbidsai.com within 14 days of the charge and we will review your case.
5. AI-Generated Content
5.1 Match Scores and Recommendations
Our matching engine uses a combination of keyword analysis, AI semantic scoring, and historical procurement data analysis to generate match scores, explanations, and recommendations. These outputs are provided for informational purposes only.
5.2 No Guarantee of Accuracy
AI-generated content — including match scores, summaries, extracted requirements, and match explanations — may contain errors, omissions, or inaccuracies. You should always verify tender requirements, deadlines, and eligibility criteria directly from the official source (CanadaBuys or the issuing authority) before submitting any bid or proposal.
5.3 No Guarantee of Success
A high match score does not guarantee that you will win or are qualified for a particular tender. Match scores reflect our AI's assessment of relevance based on your profile data and are not a substitute for your own professional judgment.
6. Tender Data
6.1 Data Sources
Tender data displayed on our platform is sourced from publicly available Government of Canada open data, primarily the CanadaBuys open tender notice dataset. We refresh this data regularly but cannot guarantee real-time accuracy.
6.2 No Liability for Tender Data
We are not responsible for the accuracy, completeness, or timeliness of tender data published by the Government of Canada or any other source. Closing dates, requirements, and tender details may change without notice on the official procurement portals. Always confirm details at the official source before taking action.
6.3 Documents
Tender documents linked or displayed on our platform are hosted by the Government of Canada or third-party procurement systems. We do not host, modify, or guarantee the availability of these documents.
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law
- Scrape, crawl, or systematically download data from the platform using automated tools without our written consent
- Attempt to gain unauthorized access to our systems, servers, or databases
- Interfere with or disrupt the integrity or performance of the Service
- Impersonate another person or entity, or misrepresent your company information
- Use the Service to compete directly with CanadianBids.ai or to build a competing product
- Share your account credentials with third parties or create multiple accounts for the same entity to circumvent plan limitations
- Resell, redistribute, or sublicense access to the Service
We reserve the right to suspend or terminate accounts that violate these Terms, with or without notice.
8. Intellectual Property
8.1 Our Content
The CanadianBids.ai platform — including its design, code, AI models, match algorithms, branding, and original content — is owned by us and protected by Canadian intellectual property laws. You may not copy, modify, distribute, or create derivative works from our platform without written permission.
8.2 Your Content
You retain ownership of the information you provide in your company profile. By using the Service, you grant us a limited, non-exclusive licence to use your profile data for the purposes described in these Terms and our Privacy Policy, including AI processing for matching.
8.3 Government Data
Tender data sourced from the Government of Canada is used under the Open Government Licence — Canada.
9. Limitation of Liability
To the maximum extent permitted by applicable law, CanadianBids.ai and its owners, operators, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, revenue, or business opportunities
- Missed tender deadlines or failed bid submissions
- Reliance on AI-generated match scores, summaries, or recommendations
- Errors in tender data sourced from government open data
- Service interruptions, downtime, or data loss
Our total aggregate liability for any claim arising from your use of the Service shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim, or one hundred Canadian dollars ($100 CAD), whichever is greater.
10. Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that:
- The Service will be uninterrupted, error-free, or secure
- AI-generated content will be accurate or complete
- Tender data will be current or reflect real-time changes
- The Service will meet your specific requirements or expectations
11. Indemnification
You agree to indemnify and hold harmless CanadianBids.ai and its owners, operators, employees, and affiliates from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
12. Termination
12.1 By You
You may terminate your account at any time by using the "Delete Account" feature in your profile settings or by contacting us at julie@getcanadianbidsai.com.
12.2 By Us
We may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any other reason at our reasonable discretion. If we terminate your account without cause, we will refund any prepaid subscription fees on a prorated basis.
12.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. We will delete your profile data in accordance with our Privacy Policy. Provisions that by their nature should survive termination (including Sections 9, 10, 11, and 14) will survive.
13. Modifications to the Service and Terms
We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We may update these Terms from time to time. Material changes will be communicated via email to registered users or by posting a prominent notice on our website at least 14 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
14. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any disputes arising from or relating to these Terms or the Service shall be resolved through the following process:
- Informal resolution: The parties will first attempt to resolve disputes informally by contacting us at julie@getcanadianbidsai.com
- Mediation: If informal resolution fails within 30 days, the parties agree to attempt mediation before pursuing other remedies
- Jurisdiction: If mediation fails, disputes shall be submitted to the exclusive jurisdiction of the courts of the Province of Ontario, located in Toronto
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and CanadianBids.ai regarding the use of the Service and supersede all prior agreements and understandings.
